Management Board

Marcin Wiński, President of the Management Board, CIO

He has extensive experience in managing company and investment funds. As a result-oriented person, he boasts excellent strategic planning, regular exceeding of business targets, sales effectiveness and negotiation skills. An expert in the subject of global financial markets.

Graduate of the Warsaw School of Economics in Finance and Banking with a specialization in Investment Banking and postgraduate studies in Risk Management in Financial Institutions.

He has been involved in the financial services industry for more than a dozen years. He started his career at Kredyt Bank S.A. and then worked for seven years at Raiffeisen Bank Polska S.A. Initially as a foreign exchange dealer, specializing in FX Spot, FX Forward, FX Options transactions, and then as Senior Manager of Financial Portfolios, he co-created and implemented the Portfolio Management service for the bank’s wealthiest clients. A member of the Product Committee and the Investment Committee, he gained experience in developing and implementing financial products and services. Conducted many internal and external trainings on financial instruments.

Since 2015, he has been continuously associated with Investment Fund Companies. Initially, as a Fund Manager at Millenium TFI S.A., he was involved in comprehensive management of foreign funds, e.g. Global Shares, Global Stable Growth, Global Alternative Strategies. He was also co-founder and manager of other funds at Millenium TFI, e.g. Conservative SFIO, Dividend FIZ.

Since 2018, he has been with Baltic Capital S.A. for more than three years. Initially as Director of Fund Management in December 2018 appointed to the Board of Directors of the Society. As a Board Member, he was responsible for overseeing the Departments: Risk Management, Compliance and Supervision , Operations, and external companies. He represented the Society and the Funds in relations with clients. In addition to planning and implementing processes, procedures and internal regulations, he developed product offerings and formulated strategies for individual funds. He successfully built an external distribution network. His achievement was also the establishment of the Luxembourg fund and the approval of its cross-border management by the Society.

He was a panelist at numerous conferences, debates on investment issues, author of many articles on investment topics, and creator of the author’s investment portfolio on the TVN24Bis program “Million in Portfolio.”

He joined the TYR Investment Fund Company team in August 2021 and, after receiving approval from the FSC, has served as a Board Member overseeing investment decision-making since October 1, 2021.

Czesław Sadkowski, Legal Advisor

Legal Advisor. Since 2004 the owner and then the Managing Partner of Sadkowski and Partners Limited Joint-Stock Partnership based in Warsaw – dynamically developing law firm specializing in full and comprehensive legal service of large business entities with Polish and foreign capital (currently Sadkowski and Partners Limited Partnership).

As one of the few specialists in the whole country, using his knowledge of international law, he effectively represents companies in disputes settled before the Court of First Instance, before the European Court of Justice in Luxembourg and before courts in Russia, Ukraine and Moldova. He also has to his credit participation in the work of the Parliament conducted on the Law on Railway Protection Guards. He participated in carrying out many restructuring and privatization processes in companies with State Treasury and private capital, including the successful one of the largest steel mills in Poland, i.e. Huta “Częstochowa” Spółka Akcyjna.

He also specializes in M&A transactions and capital group restructuring projects.

Has many years of experience in due diligence processes.

Czesław Sadkowski

Slawomir Chwierut, Member of the Management Board

Sławomir Chwierut began his professional activity in 1997 at KPMG, where he led valuation, audit, due diligence and consulting projects for the financial sector. Then, for more than 20 years, he held various managerial positions in the area of finance at the Allianz Polska Group. He participated in projects including: integration after acquisitions of other entities, organization of the IT center and regional accounting center, relocation of the customer service center, etc. For more than 10 years, he held the position of Vice President of Allianz Poland Investment Funds Company, where, among other things, he supervised the risk management system of a wide range of funds: closed-end, open-end, specialized open-end, debt, non-public assets, master-feeder funds.

He graduated from the Cracow University of Economics and Stockholm University, and completed postgraduate studies at Lazarski University. He obtained qualifications as a real estate appraiser, ACCA and an Executive MBA degree from Ecole Nationale des Ponts et Chaussees in Paris.

He has many years of experience in reporting, taxation, controlling, financial analysis, risk management, fund participant services, information security, data protection, business continuity management, overseeing fund valuation and information technology area.

Mariusz Mikulski, DIRECTOR OF INVESTMENTS

Since March 2021, Sales Director and then Investment Director and Proxy at TYR Investment Fund Company. Responsible for structuring and executing transactions in the private debt market involving project financing through bonds. From 2019 to 2021, Member of the Board of Directors / Managing Director and Sales Director of Crowd Real Estate – a crowdfunding platform specializing in financing real estate projects – responsible for the process of acquiring clients seeking financing and investors, as well as overseeing other areas of the platform’s operations.

Active participant in the private debt and private equity market. Speaker and participant in many congresses and industry conferences in this area. Specialist in real estate and project financing involving real estate, with experience in both commercial and residential real estate projects.

Experienced Corporate Banking manager with a background in legal knowledge as well as strong sales skills. He has held managerial positions in banking institutions such as Bank Millennium, Raiffeisen Bank Polska SA and BZ WBK Faktor sp. z o.o . He can boast of excellent product knowledge in both the SME client segment as well as Large Corporate clients. In his work, he conducted and prepared product and introductory trainings for new employees. His knowledge of M&A processes as well as Real Estete allows him to comprehensively serve clients.

Supervisory Board

Mariusz Kowolik – President of the Supervisory Board

He served his judicial apprenticeship ending with a positive result of the judicial exam. Since 2011, he has been registered on the list of legal advisors of the District Chamber of Legal Advisors in Opole. From January to December 2008 he worked as a lawyer in the law firm Kruk, Pasierbiak, Wasilewski and Partners in Warsaw and since 2009 he has been associated with the law firm Sadkowski and Partners, where he supervises the work of the Civil Law and Litigation Department, the Bankruptcy, Restructuring and Enforcement Law Department and the Public Procurement Law Department. He has extensive experience in handling major litigation for the Firm’s key clients, before common courts, the Supreme Court and arbitration courts. As part of his litigation practice, he has been advising financial institutions for many years on the analysis and management of litigation risks related to the activities of these institutions, as well as representing clients in litigation related to the operation of the financial market. Since December 2016, he has served as Vice Chairman of the Supervisory Board of the company Centrum Projektów Regionalnych – Inwestor S.A. The company operates in the broadly defined construction and real estate market: real estate development activities, real estate management and brokerage, as well as consulting in investment processes.

Paweł Mielcarz – Member of the Supervisory Board

Pawel Mielcarz is a professor of the Leon Kozminski Academy in Warsaw, where the functions of the Manager of the Department of Finance, the Coordinator of the MBA for Finance and postgraduate financial studies. During his time at ALK, he has also worked in other management positions, such as a member of the Finance Committee, or deputy director of the College of Finance and Management responsible for the development of finance and accounting studies, including the Master in Finance and Accounting (ranked 20th in financial graduate studies by the Financial Times, ranking 2020). In his academic work, he mainly deals with the issues of corporate value management, valuation of companies, projects and real options. He is the author or co-author of dozens of articles, scientific papers and books: “Analysis of investment projects in the process of creating enterprise value” and “Short-term impact of recommendations on the stock market in Poland”. As a lecturer, he has taught, among other things, valuation and broadly understood corporate finance as part of diploma, postgraduate and MBA programs at Kozminski University, Leon Kozminski Academy, Wroclaw University of Economics, Warsaw University, HAAGA – HELIA University of Applied Scince, Kufstein University, EDC, Ecole des Dirigeants et Créateurs d’entreprise, University of Debrecen, Ecole de Management de Normandie, Universito of Porto and Black Sea University. For the past ten years, he has been a permanent collaborator at ESSCA, – École de Management, where he teaches courses in financial analysis and valuation as part of his master’s degree in finance. He completed the Global Colloquium on Participant – Centered Learning and Case Study Workshop programs organized by Harvard Business School.

Krzysztof Burnos – Member of the Supervisory Board

Graduate of the Faculty of Economics and Sociology and the Tax Law Study of the Faculty of Law and Administration at the University of Lodz. Certified auditor with many years of professional experience. Member of the international organization of forensic auditors (Association of Certified Fraud Examiner). He completed doctoral studies at the Faculty of Management of the University of Lodz. He holds the title of certified accountant from the Association of Accountants in Poland.

He gained professional experience serving as chief accountant, financial controller, financial director, manager, auditor and independent members of supervisory boards. Directing corporate finance, he was responsible for corporate financial reporting in accordance with IFRS, accounting policy, taxation, internal control and financial planning. As an auditor, he audited the financial statements of companies in many industries, including finance and debt collection. As an independent member of the supervisory board, he chaired the audit committee of the listed financial sector company Magellan S.A., monitoring reporting, audits and risk management.

Completed a number of specialized courses in IAS/IFRS, SOX, fraud audit, internal controls, corporate governance, XBRL. He has translated international auditing standards. He is the author of textbooks for auditors as well as a number of publications on auditing and accounting. He has conducted training courses for audit committee members on auditing. In 2001-2019 he was a member of the international expert groups of the international organization of chartered accountants Accountancy Europe dealing with issues of audit quality. Panelist at national and international conferences on auditing and corporate reporting.

In 2015- 2019, he served as President of the National Council of Statutory Auditors and headed the Polish Chamber of Statutory Auditors. Since 2001, he has headed the auditing firm Burnos Audit Sp. z o.o. Independent member of the supervisory board and chairman of the audit committee of Getback S.A.
